Terms of service
These terms govern your use of Celecom. Please read them together with our Privacy Policy and any additional terms shown for a paid product or service.
Celecom, we, us and our mean CELECOM LIMITED, a New Zealand limited company (company number 9349712, NZBN 9429052914676), with its registered office at Celecom, Flat 2, 11a Arcadia Road, Epsom, Auckland 1023, New Zealand. You means the person using the service or, if you use it for an organisation, both you and that organisation.
1. What Celecom provides
Celecom helps people create and follow occasions, send sealed greetings and creative content, and use related celebration features. Some features are available without an account through an event code or private parcel link.
Features described as planned, preview, beta or coming soon may change or may not be released. Gifts, payments, stored credit, advertising and physical fulfilment are not covered as live services merely because the data model or product documents anticipate them. Additional purchase, vendor, refund and delivery terms must be provided before those features accept money.
Celecom's digital service may be available internationally. Physical gifts, logistics, payments, deliveries and other location-dependent services may be introduced later and may be limited to selected countries, regions, addresses or vendors. Access to the website from a country does not mean that every feature is offered there. The availability shown in the service at the time of use applies.
2. Eligibility and authority
You must be at least 16 to create an independent Celecom account. If the law in your country requires you to be older to agree to these terms, that older age applies. A person under 16 must not create an account. An adult may create and manage a profile about a person under 16 only where the adult is their parent, legal guardian or is otherwise authorised to do so. A managed profile is not an independent account for the person it describes.
While Celecom is open by invitation, a new account also needs an invitation code, and is available only to people who are 18 or over. You confirm this when you join; Celecom does not ask for proof of age. A link to a card or an occasion lets you open and reply to it, but is not an invitation to create an account.
If you use Celecom for a company or other organisation, you confirm that you are authorised to bind it to these terms. If you create or manage a profile for another person, you confirm that you have a lawful and appropriate reason to do so and authority to provide their information.
3. Accounts
You must provide accurate information, keep it reasonably current and protect your sign-in credentials. You are responsible for activity under your account unless it results from Celecom's breach or another matter for which the law makes Celecom responsible.
Tell us promptly if you suspect unauthorised access. We may require identity or account verification before changing access, responding to a rights request or restoring an account.
Usernames are allocated on a first-available basis. A username does not give you ownership of a trade mark or another person's identity. We may change or remove a username that infringes rights, impersonates someone, misleads users or is needed for the safe operation of the service.
4. Profiles and information about other people
Celecom lets you create profiles and occasions for other people, including people who do not have an account. Use that feature with care. Do not upload a person's private information, image, health information, address or child's information unless you have authority and a proper reason.
A person may ask us to correct, restrict or remove information about them. We may act on that request even if another account created the profile. We may also help a person claim a managed profile after appropriate verification.
5. Occasions, follows and sharing
You choose an occasion's audience from the options Celecom provides. You are responsible for checking that choice before sharing an event code or link.
Following an occasion may add it to your upcoming view and permit reminders under your settings. It does not create an obligation to send a greeting, stamp or gift. You can unfollow or mute an occasion using the available controls.
Organisers can edit, cancel or archive occasions subject to product safeguards. An occasion that already has followers or greetings forms part of shared history. Cancelling it may stop discovery, reminders and new participation without deleting content that other users created. Permanent erasure is handled separately under the Privacy Policy and applicable law.
6. Greetings and private links
A greeting can be sent to a member or to anyone who holds its private link. A link is a bearer credential: a person who obtains it may be able to open the parcel after the seal conditions are met. Keep it private and send it through a channel you trust.
Celecom may enforce a seal date and an optional question on the server. No security control is infallible. The optional question is intended as an extra personal check, not as a vault for highly sensitive information. Do not put the answer in the hint.
The sender is responsible for the recipient address and content. We cannot guarantee delivery when an address is wrong, a provider blocks or delays a message, a recipient's inbox is full, or a third-party network is unavailable.
7. Your content
You keep ownership of original content you submit, such as messages, photos, drawings, signatures and stamp designs.
You give Celecom a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for technical display, transmit and show your content only as reasonably necessary to:
- provide and improve the feature you chose;
- display it to the audience you selected;
- deliver, resize, transcode or back up it;
- secure and moderate the service; and
- comply with law and enforce these terms.
This licence ends when the content is deleted from active systems, except to the extent a copy remains in a reasonable backup cycle, another user has a lawful shared-history interest, or retention is required by law. We do not acquire the right to sell your private greeting or use it in advertising merely because you uploaded it.
You confirm that you have the rights and permissions needed for your content and that its use through Celecom will not infringe another person's copyright, privacy, publicity, trade mark or other rights.
8. Acceptable use
You must not use Celecom to:
- break the law or encourage unlawful conduct;
- threaten, harass, exploit, defraud, impersonate or abuse another person;
- sexualise or endanger a child;
- publish another person's sensitive or private information without authority;
- send spam, bulk unsolicited messages or deceptive links;
- upload malware or interfere with the service, another account or a security control;
- guess, scrape, enumerate or distribute private parcel links or event codes;
- access information outside the permissions Celecom gives you;
- create fake engagement, followers, occasions, stamp value or redemptions;
- reverse engineer the service except where the law expressly permits it;
- use automated means at a volume that burdens the service without our written permission; or
- remove rights notices or falsely imply that Celecom endorses you or your content.
We may remove content, limit distribution, suspend a feature or restrict an account where reasonably necessary to investigate or address a breach, legal request, safety risk or operational threat. Except in urgent cases, we will use proportionate measures and provide notice and a review path where practicable.
9. AI-assisted features
AI suggestions and generated content are optional tools. They may be inaccurate, inappropriate, repetitive or similar to material generated for another user. Review them before sending or publishing them. You remain responsible for the content you choose to use.
Do not submit confidential or unnecessary sensitive information to an AI feature. Celecom does not promise that generated material is unique, eligible for copyright protection, or free of all third-party claims.
Automated moderation can refer content for human review. It does not make a final enforcement decision on its own.
10. Music, effects, stamps and third-party material
Some material is owned or licensed by Celecom or third parties. You may use it inside the service as offered. You may not extract, redistribute, sell or use it as a standalone media library unless a separate licence permits that use.
Imported music may require creator attribution, and stamp artwork may have its own visibility or licence conditions. Celecom may replace or withdraw licensed material if rights change, while using reasonable efforts to preserve existing sent cards with an appropriate fallback.
11. Intellectual property
Except for user content and identified third-party material, Celecom and its licensors own the service, software, design, brand, trade marks and related intellectual property. These terms give you a limited, personal, non-transferable, revocable right to use the service in accordance with these terms. They do not transfer ownership.
If you believe content infringes your rights, contact hello@celecom.net with enough information for us to identify the work, content and basis of the claim.
12. Communications
We may send messages needed to verify or secure an account, deliver a parcel, operate an occasion, provide requested reminders, respond to support or make a material service or legal notice.
Marketing and optional reminders are subject to applicable consent and unsubscribe rules. You can change available notification settings or use the unsubscribe method in an eligible message. Unsubscribing from marketing does not stop messages strictly necessary to operate an account or complete a transaction you requested.
13. Third-party services
Celecom relies on third-party infrastructure and can integrate third-party sign-in, AI, address, communications, music or fulfilment services. Their own terms may apply when you deal with them directly, such as when you choose Google sign-in. Celecom remains responsible to the extent required by applicable law and does not exclude responsibility merely because a contractor helped provide the service.
External links are provided for convenience. We do not control an external service's availability, security or content.
14. Service changes and availability
We may improve, add, remove or discontinue features, and non-material changes may be made without individual notice. We will give reasonable notice where a change materially reduces a paid service or affects existing content, unless urgent security, legal or reliability reasons make notice impracticable.
Celecom is provided over internet and third-party systems, so uninterrupted availability cannot be guaranteed. We will use reasonable care and skill in providing the service and in restoring material failures.
15. Ending use and account action
You may stop using Celecom at any time. A complete self-service account deletion and export flow is not yet available. Until it is built, contact hello@celecom.net to request deactivation, access, export or deletion.
We may suspend or terminate an account for a material or repeated breach, serious safety risk, fraud, unlawful use or threat to the service. Where reasonable, we will explain the reason and give an opportunity to appeal or fix the problem.
Sections that by their nature must survive will continue, including ownership, necessary licences for retained shared history, accrued rights, lawful record retention, disclaimers, liability and dispute terms.
16. Consumer rights
Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded. In New Zealand, this can include rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986. Users in other countries may also have mandatory local consumer rights. In Australia, this includes applicable rights under the Australian Consumer Law.
If Celecom introduces paid services, the purchase terms must clearly describe the seller, price, taxes, delivery, cancellation, refunds and the remedies that apply. A statement that a payment is non-refundable will not override mandatory consumer rights.
17. Disclaimers
To the extent permitted by law, Celecom does not promise that every occasion date, user statement, AI result, recommendation, recipient address, third-party product or external service is accurate or suitable. Users must review the information they enter and the content they choose to send.
The service is not an emergency, medical, legal, financial or identity verification service. A profile, follow, seal question or verified badge should not be treated as proof beyond what the feature expressly says.
These disclaimers do not limit duties or remedies that the law does not allow us to limit.
18. Liability
Each party remains responsible for loss it causes and for obligations that cannot be excluded by law.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the contract was formed. This does not exclude liability for fraud, wilful misconduct, infringement of another person's rights, breach of confidentiality, personal injury, or any liability that cannot lawfully be excluded.
19. Disputes
Contact hello@celecom.net first and explain the problem. We will try to resolve complaints fairly and promptly. Privacy complaints follow the process in the Privacy Policy.
Nothing in this section prevents either party from seeking urgent court relief or using a consumer regulator, tribunal or other right that cannot be excluded.
20. Governing law
These terms are governed by New Zealand law. You and Celecom submit to the non-exclusive jurisdiction of the New Zealand courts. This does not deprive you of a mandatory consumer, privacy or other legal protection that applies in the country where you live, or prevent you from using a regulator, tribunal or court that applicable law makes available to you.
21. Changes to these terms
We may update these terms to reflect service or legal changes. Administrative, clarifying or other non-material changes may take effect when the new version and effective date are posted, without individual notice. If a change materially affects existing rights or obligations, we will provide reasonable advance notice and, where required, ask for renewed agreement. Changes will not retroactively remove rights already accrued.
22. General
If a court finds part of these terms unenforceable, the remaining terms continue to the extent possible. A delay in enforcing a term is not a waiver. You may not transfer your account or these terms without our consent. We may transfer these terms as part of a legitimate business reorganisation if your rights are not materially reduced.
These terms, the Privacy Policy and any feature-specific terms form the agreement for the service they cover. They do not create a partnership, employment, agency or fiduciary relationship.
